退还购房及门面款协议书                                                                                                                                

    退款单位:开阳县祥盛房地产开发有限公司(简称甲方) 法定代表人:杨先华  身份证号522522530210001                                                                

    购 房 人:蒲佳祥、朱德敏、杨永雯、何述超(简称乙方)                                                                

    甲方于2009年1月4日、1月9日、3月28日、4月6日分四次将该公司羽翔苑小区a栋门面530平方米和e栋电梯房跃 层住宅e、f、h、                                                                

    c、d五户型计1016.9平方米,两项计人民币335万元预售给乙方。由于甲方违约,没有按时将乙方所购买的房户和门面交给乙方使用,甲方因违约另应付给乙方的资金占用费及违约金128万元。为了维护甲、乙双方共同利益,现甲、乙双方就退购房和门面款事宜协商如下:                                                                

    一、甲方自行完成羽翔苑小区项目的各项约定。于2010年   月   日前全额退还乙方购房和门面款335万元。                                                                

    二、乙方应收甲方的128万元资金占用费及违约的      万元,于    年  月  日前付给乙方。

    关于乙方向甲方购房事宜,经双方协商,达成协议如下:                                                                

    一、甲方将其拥有产权的位于凯里市                  的房屋第五层第三套,建筑面积约75平方米(实际面积以办理的房屋所有权证的面积为准)以人民币1200元/平方米出售给乙方,乙方愿意以上述价格向甲方认购该房。                                                                

    二、甲方承诺:                                                                

    1、保证对出售的房屋拥有产权,其房屋权属清楚,无任何家庭纠纷。保证该出售房屋未予出租或其它纠纷。因出租或纠纷等原因所产生的任何问题由甲方承担并负责解决。                                                                

    2、自签订本协议起,保证将该房屋按约定价格出售给乙方。                                                                

    3、按乙方要求建设该房屋,待房屋交给乙方后,乙方在不改变房屋主体结构的基础上,可自行改装。                                                                

    4、房屋建设要达到交付使用标准,并确保质量安全。在房屋使用期间出现质量问题,由甲方负责维修。                                                                

    5、自签订本协议起,保证在半年内,即2010年8月30日前将房屋交付乙方使用;保证二年内,即2012年3月1日前办理完房屋所有权证书、准入许可证及契税完税凭证,并交给乙方,其中所产生的正常费用(指国家机构收取的税费及工本费)由乙方承担。                                                                

    三、乙方承诺:保证按约定价格(即1200元/平方米)向甲方购买该房屋,但因房屋还未建成,故先支付玖万元(¥90000.00元)给甲方;待办理得完房屋所有权证书、准入许可证及契税完税凭证并交给乙方后,再按实际面积计算出所差价款一次性付给甲方。乙方保证积极协调甲方办理房屋所有权证,并负责其正常的办理费用。                                                                

    四、本协议以获得公证处公证后正式生效条件。如果公证处认为                                                                                                                                    

    不符合条件而不予公证,则甲、乙双方可以解除本协议。甲方向乙方收取的定金,应如数退还给乙方。                                                                

    五、违约责任                                                                

    1、如果甲方违约,拒绝将房屋出售给乙方,除全部退还乙方所付钱款外,还应向乙方支付拾万元(¥100000.00元)的违约金;如甲方不按规定时间交房给乙方,将按每天100元的标准交纳滞纳金给乙方(除不可抗力因素外);如甲方不按规定时间给房屋所有权证给乙方,将按每天50元的标准交纳滞纳金给乙方(除不可抗力因素外)。                                                                

    2、如果乙方违约,甲方有权另外处理该房屋,并向甲方赔偿因此受到的损失。                                                                

    六、本协议的定立、履行、接触、变更和争议的解决适用中华人民共和国法律。                                                                

    七、本协议自双方签字或盖章之日起生效。                                                                

    八、本协议壹式肆份,双方各执壹份,公证机构和见证人各执一份,每份均具有同等法律效力。                                                                

    九、本合同未尽事宜,双方协商另补协议。                                                                

    十、如甲、乙双方有任何争议,由公证机构和见证人协商同甲乙双方共同处理解决。
